1. Acceptance of Terms

By accessing or using any website, application, product, or service operated by PRIME Health Professionals Network LLC (“PHPN,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). This includes, without limitation:

• com — the corporate website for PRIME Health Professionals Network
• com — the consumer health-education website for the Black Men’s Health Guide brand
• Any other websites, applications, products, or services operated by PHPN under its current or future brands (collectively, the “Services”)

If you do not agree to these Terms, do not use the Services.

These Terms form a binding legal agreement between you and PRIME Health Professionals Network LLC, a Georgia limited liability company. These Terms apply to all users of the Services, including visitors, registered users, healthcare professionals, hospital clients, and purchasers of digital products.

2. Description of Services

PHPN provides a range of services across its brands and properties, which may include:

(a) Physician Staffing and Placement Services. Through the PRIME Health Professionals Network brand, PHPN operates a locum tenens and on-demand physician staffing network. Services include facilitating clinical assignments, short-term and long-term job placements, gap coverage for hospitals and healthcare facilities, and elite surgical coverage solutions. Participation in these staffing services may be governed by a separate written agreement.

(b) Healthcare Professional Network Membership. PHPN offers a referral and commission program and network membership opportunities for qualified healthcare professionals. Program details are subject to separate terms provided at enrollment.

(c) Digital Health-Education Products and Content. Through the Black Men’s Health Guide (BMHG) brand and other PHPN properties, PHPN creates, publishes, and sells digital health-education content, including e-books, guides, newsletters, and other informational resources. These products are intended for general educational and informational purposes only (see Section 7 — Healthcare Disclaimer).

(d) Information and Content Services. PHPN publishes health-related articles, newsletters, guides, and other informational content across its websites and email communications.

(e) Future Services. PHPN may offer additional services, products, or features in the future. Such new offerings will be subject to these Terms unless otherwise specified in a separate agreement.

3. Eligibility

3.1 You must be at least 18 years of age to use the Services or purchase any products from PHPN. By using the Services, you represent and warrant that you are 18 years of age or older.

3.2 You must have the legal capacity to enter into a binding contract under applicable law. If you are accessing the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3.3 The Services are intended for users located in the United States. PHPN makes no representation that the Services are appropriate or available for use in other locations. Users who access the Services from outside the United States do so at their own initiative and are responsible for compliance with local laws.

4. Account Terms

4.1 Certain features of the Services may require you to create an account. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4.2 You agree to notify PHPN immediately at info@primehealthpros.com if you become aware of any unauthorized use of your account.

4.3 PHPN reserves the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, at its sole discretion.

4.4 You may not create an account on behalf of another person without that person’s express authorization, or use an account registered in someone else’s name.

5. Acceptable Use

5.1 You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

(a) Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.

(b) Use automated tools, bots, spiders, or scripts to access, collect, or extract any data, content, or information from the Services, except as expressly permitted by PHPN in writing.

(c) Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software, digital product, or system that forms part of the Services.

(d) Harass, intimidate, threaten, or harm any other user, PHPN employee, or third party in connection with the Services.

(e) Upload, transmit, or distribute any content that is unlawful, defamatory, obscene, fraudulent, or that infringes any third party’s intellectual property rights.

(f) Use the Services or any content obtained from them for unauthorized commercial purposes, resale, sublicensing, or distribution without PHPN’s prior written consent.

(g) Attempt to gain unauthorized access to any portion of the Services, PHPN’s systems, or networks connected to the Services.

(h) Impersonate any person or entity or misrepresent your affiliation with any person or entity.

(i) Interfere with or disrupt the integrity or performance of the Services or any data contained therein.

5.2 PHPN reserves the right to investigate and take appropriate action against anyone who, in PHPN’s sole discretion, violates these provisions, including but not limited to removing content, suspending or terminating access, and reporting to law enforcement authorities.

6. Digital Product Purchases and License Terms

6.1 License Grant. When you purchase a digital product from PHPN — including, without limitation, the Black Men’s Health Bible (Vol. 1 and any subsequent volumes) and any other e-books, guides, or digital downloads offered by PHPN or its brands — PHPN grants you a limited, non-exclusive, non-transferable, non-sublicensable, personal license to download, access, and use the digital product for your own personal, non-commercial purposes.

6.2 Restrictions. You may not:

(a) Reproduce, copy, distribute, transmit, publicly display, or create derivative works from any digital product;

(b) Sell, resell, sublicense, rent, lend, or transfer any digital product to any third party;

(c) Remove or alter any copyright notices, watermarks, or proprietary markings on any digital product;

(d) Use any digital product for commercial purposes, including incorporation into other products, services, or publications.

6.3 Single-User License. Each purchase of a digital product is licensed to a single individual user. You may not share login credentials or files with others.

6.4 Intellectual Property. All digital products remain the sole and exclusive intellectual property of PHPN. Your purchase of a digital product does not transfer ownership or any intellectual property rights to you.

6.5 No Warranty on Digital Products. Digital products are provided “as is.” PHPN does not warrant that digital products will be error-free or that access will be uninterrupted. See Section 12 for additional disclaimers.

7. Healthcare Disclaimer — Important Notice

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS CRITICAL LIMITATIONS ON THE NATURE OF INFORMATION PROVIDED BY PHPN AND ITS BRANDS.

7.1 Educational and Informational Purpose Only. All content published, distributed, or sold by PHPN and its brands — including but not limited to the Black Men’s Health Guide, the Black Men’s Health Bible, articles, newsletters, blog posts, social media posts, videos, and any other written, audio, or visual materials — is intended solely for general educational and informational purposes. This content does not constitute medical advice, diagnosis, or treatment.

7.2 No Physician-Patient Relationship. Your use of the Services, purchase of any digital product, or communication with PHPN or any of its employees, contractors, or representatives (including the Founder and Managing Member) does not establish, and is not intended to establish, a physician-patient relationship of any kind. No communication through the Services should be understood as professional medical advice.

7.3 Consult Your Own Physician. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking it because of something you have read, heard, or purchased through PHPN’s Services or brands. If you think you may have a medical emergency, call your doctor or emergency services immediately.

7.4 Disclaimer of Medical Liability. PHPN, its brands (including the Black Men’s Health Guide), its members, officers, employees, contractors, and the Founder expressly disclaim all responsibility and liability for any medical decisions, health outcomes, actions, or inactions taken by any person in reliance on content provided through the Services. PHPN is not liable for any loss, injury, or damage resulting from reliance on any health-related information provided through the Services.

7.5 No Endorsement. Reference to any specific product, treatment, medical professional, or service within PHPN’s content does not constitute a recommendation or endorsement by PHPN.

8. Intellectual Property

8.1 PHPN Ownership. All content, materials, software, graphics, logos, trademarks, service marks, trade names, and other intellectual property made available through the Services — across all PHPN brands and properties — are owned by or licensed to PRIME Health Professionals Network LLC. This includes, without limitation:

• The PRIME Health Professionals Network name, logo, and associated branding;
• The Black Men’s Health Guide name, logo, and associated branding;
• The Black Men’s Health Bible and all other PHPN publications;
• All website content, articles, newsletters, and educational materials.

8.2 Trademarks. “PRIME Health Professionals Network,” “Black Men’s Health Guide,” “BMHG,” and associated logos are trademarks or service marks of PRIME Health Professionals Network LLC. Nothing in these Terms grants you any right to use these marks without PHPN’s prior written permission.

8.3 Restrictions. You may not reproduce, modify, distribute, display, perform, or create derivative works based on PHPN’s intellectual property without express written permission.

8.4 Feedback. If you provide PHPN with any feedback, suggestions, or ideas about the Services, you grant PHPN a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without restriction or compensation to you.

9. User-Submitted Content

9.1 Your Content. If you submit content to PHPN through contact forms, newsletter replies, surveys, social media interactions, or any other channel, you retain all ownership rights in that content. However, by submitting content to PHPN, you grant PHPN a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, display, distribute, and create derivative works from your submitted content for the purpose of operating, improving, and promoting the Services.

9.2 Representations. By submitting content, you represent and warrant that: (a) you own or have the right to submit such content; (b) your content does not violate any applicable law or third party’s rights; and (c) your content is not false, misleading, or defamatory.

9.3 No Obligation. PHPN is under no obligation to use, publish, or respond to any submitted content.

10. Payment Terms

10.1 Pricing. Prices for digital products and other purchasable services are listed on the applicable PHPN website at the time of purchase. PHPN reserves the right to change prices at any time. Price changes will not affect purchases already completed.

10.2 Billing and Payment Processing. PHPN processes payments through Stripe, Inc. By making a purchase, you agree to Stripe’s terms of service and privacy policy (available at stripe.com). You authorize PHPN to charge your payment method for the total amount of your order, including any applicable taxes.

10.3 Taxes. You are responsible for any applicable sales, use, goods and services, value added, or other taxes associated with your purchase. PHPN will collect and remit taxes as required by applicable law.

10.4 No Storage of Full Card Data. PHPN does not store your full payment card number, CVV, or other sensitive card data on its servers. All payment card information is handled directly by Stripe, which maintains PCI DSS compliance.

10.5 Refunds. Refunds are governed by PHPN’s Refund Policy, which is incorporated into these Terms by reference and available at https://primehealthpros.com/refunds.

11. Termination

11.1 By PHPN. PHPN may suspend or terminate your access to the Services, with or without notice, at any time in its sole discretion. Grounds include, without limitation, violation of these Terms, non-payment, fraudulent or illegal activity, or any conduct that PHPN believes may harm PHPN, its brands, or other users.

11.2 By You. You may stop using the Services at any time. If you have an account, you may request deletion of your account by contacting info@primehealthpros.com.

11.3 Effect of Termination. Upon termination, your right to use the Services ceases immediately. Sections 7, 8, 12, 13, 14, 15, 16, and 18 will survive any termination.

12. Disclaimers

12.1 “As Is” Services. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

12.2 No Warranty of Results. PHPN does not warrant that the Services will meet your specific requirements, that results obtained from using the Services will be accurate or reliable, or that any errors in the Services will be corrected.

12.3 Third-Party Services. PHPN is not responsible for the conduct, products, services, or content of any third party, including payment processors, email service providers, or any websites linked from the Services.

13. Limitation of Liability

13.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PHPN, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR SUCCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, OR ANY OTHER INTANGIBLE LOSS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF PHPN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 Liability Cap. IN NO EVENT WILL PHPN’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO PHPN IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

13.3 The limitations in this Section apply to all theories of liability, whether based on contract, tort (including negligence), strict liability, or any other legal theory.

13.4 Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in full.

14. Indemnification

You agree to defend, indemnify, and hold harmless PHPN and its members, officers, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content you submit to PHPN.

15. Governing Law

These Terms and any dispute arising out of or related to the Services or these Terms will be governed by and construed in accordance with the laws of the State of Georgia, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

16. Dispute Resolution

16.1 Informal Resolution. Before initiating any formal dispute process, you agree to first contact PHPN at info@primehealthpros.com and attempt in good faith to resolve the dispute informally. PHPN will attempt to resolve the dispute within thirty (30) days of receiving notice.

16.2 Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Atlanta, Georgia, USA. The arbitrator’s decision will be final and binding.

16.3 Class Action Waiver. YOU AND PHPN EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING. All claims must be brought on an individual basis only.

16.4 Exceptions. Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims within the jurisdiction of a small claims court may be brought in Cobb County, Georgia.

16.5 Opt-Out Right. New users may opt out of binding arbitration within thirty (30) days of first accepting these Terms by sending written notice to info@primehealthpros.com with the subject line “Arbitration Opt-Out.”

17. Changes to Terms

17.1 PHPN reserves the right to modify these Terms at any time. When we make changes, we will update the “Last Updated” date at the top of this document. For material changes, we will make reasonable efforts to provide notice via website posting or email to registered users.

17.2 Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

18. General Provisions

18.1 Severability. If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force and effect.

18.2 Entire Agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and PHPN regarding the Services.

18.3 No Waiver. PHPN’s failure to enforce any right or provision will not constitute a waiver of that right or provision.

18.4 Assignment. You may not assign your rights under these Terms without PHPN’s prior written consent. PHPN may assign these Terms without restriction.

18.5 Force Majeure. PHPN will not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control.

18.6 No Third-Party Beneficiaries. These Terms are for the benefit of PHPN and you only.
